These Terms and Conditions ("Terms") govern the use of the website numtrex.com ("Website") and the professional services provided by NUMTREX FOR ACCOUNTING & BOOKKEEPING CO. L.L.C ("Numtrex", "we", "us" or "our"), a limited liability company registered in Dubai, United Arab Emirates, under Commercial Licence No. 1365314, with its registered office at Office No. R19-192, Wadi Al Safa 2, Dubai, United Arab Emirates.
By accessing our Website, submitting an enquiry, accepting an Engagement Letter, requesting our services, or otherwise engaging Numtrex, you acknowledge that you have read and understood these Terms and agree to be bound by them.
Where a separate Engagement Letter, quotation or written agreement has been entered into between Numtrex and a client, that document shall apply together with these Terms. In the event of any inconsistency, the specific terms of the Engagement Letter or written agreement shall prevail to the extent of that inconsistency.
Subject to the scope specified in the applicable Engagement Letter, Numtrex may provide services including:
The exact scope, deliverables, fees, timelines and responsibilities applicable to each engagement will be specified in the relevant Engagement Letter, quotation or other written communication accepted by the client. Services not expressly included in the agreed scope shall be considered outside the engagement and may be subject to additional fees and separate agreement.
Clients may request our services through our Website, email or by entering into an Engagement Letter or other written agreement with Numtrex.
Submission of an enquiry through the Website does not by itself create a professional engagement.
An engagement will commence when Numtrex accepts the engagement and/or when the applicable Engagement Letter or agreement is executed, payment is received where advance payment is required, or Numtrex otherwise confirms commencement of the services.
Numtrex reserves the right to accept or decline any prospective engagement, subject to applicable law.
The client is responsible for:
Numtrex is entitled to rely upon information and documentation provided by the client or by persons authorized by the client without independently verifying every document or representation, unless verification is expressly included within the agreed scope. The client remains ultimately responsible for the accuracy and completeness of information supplied to Numtrex.
The client must provide requested documents, information, approvals and instructions sufficiently in advance of any applicable deadline.
Numtrex will use reasonable efforts to complete agreed services within applicable timelines. However, to the maximum extent permitted by applicable law, Numtrex shall not be responsible for delays, penalties, interest, fines, additional costs or other consequences arising from late or incomplete client information, delayed approvals, failure to respond or pay, government or third-party system unavailability, or other circumstances outside Numtrex's reasonable control.
Receipt of information shortly before a statutory or regulatory deadline does not constitute a guarantee that Numtrex will be able to complete the required work before that deadline.
Professional fees will be communicated through an Engagement Letter, quotation, invoice or other written agreement.
Unless expressly stated otherwise, all fees quoted by Numtrex are exclusive of Value Added Tax (VAT) and any other applicable taxes, duties, government charges or third-party fees. VAT will be charged at the applicable rate where required by UAE law.
Unless otherwise agreed in writing, invoices are payable immediately upon issuance.
Depending on the nature of the service, Numtrex may require full or partial payment in advance.
Payment may be accepted through bank transfer, card, payment link or such other payment method as Numtrex may make available from time to time.
The client is responsible for ensuring that payment is made in full without unauthorized deductions or set-offs.
Numtrex reserves the right, subject to applicable law, to suspend, postpone or discontinue services where an invoice remains unpaid after becoming due.
Numtrex shall not be responsible for deadlines missed or consequences arising during a period in which services have been suspended due to the client's failure to make payment. Suspension does not extinguish the client's obligation to pay amounts already due.
Where necessary for an agreed engagement and where appropriately authorized, Numtrex may communicate with the Federal Tax Authority (FTA) and other competent authorities on behalf of the client.
The client may provide Numtrex with authorized access to EmaraTax, accounting software, bank statements, financial records and other systems or documentation reasonably required to perform the agreed services.
The client is responsible for ensuring that it has the legal right and authority to provide such access and information. Numtrex does not control government portals, banks, payment processors, accounting software providers or other third-party systems and does not guarantee their continuous availability, accuracy or performance.
Numtrex will treat confidential business, financial and other information received from clients as confidential and will implement reasonable measures to protect such information.
Information may be disclosed where required by law, regulation, court order or competent authority; reasonably necessary to perform the agreed services; authorized by the client; necessary to protect Numtrex's legitimate legal rights; or provided to professional advisers, employees, contractors or service providers who require access for legitimate purposes and are subject to appropriate confidentiality obligations.
The client acknowledges that Numtrex may use electronic communications, cloud-based storage, accounting systems and other technology platforms in the ordinary course of providing its services, including email, messaging services, document-management systems, accounting software and cloud infrastructure.
Numtrex will take reasonable precautions to protect information. However, no internet transmission, email system, electronic communication or third-party platform can be guaranteed to be completely secure, continuously available or error-free.
Certain services, including budgeting, forecasting, cost accounting and financial reporting, may involve estimates, assumptions and professional judgement.
Forecasts, budgets, projections and similar forward-looking information are inherently uncertain. Actual results may differ materially from estimates or projections, and Numtrex does not guarantee that projected financial results will be achieved.
Numtrex will perform agreed services with reasonable professional care. However, Numtrex does not guarantee any particular decision, approval, tax position, regulatory outcome, financial result, profitability, financing result or commercial outcome.
Decisions made by government authorities, banks, auditors and other third parties remain within their respective discretion.
To the maximum extent permitted by applicable law, Numtrex shall not be liable for any indirect, incidental, special or consequential loss, loss of profit, loss of opportunity, loss of business, loss of anticipated savings or similar economic loss arising from the provision of services.
Numtrex shall not be responsible for losses resulting from inaccurate, incomplete, misleading or late information supplied by the client or third parties; client actions or omissions; delayed approvals; government or regulatory action; changes in law; system outages; cyber incidents outside Numtrex's reasonable control; or failures of third-party services.
To the maximum extent permitted by applicable law, Numtrex's aggregate liability arising from a particular service or engagement shall not exceed the professional fees actually paid to Numtrex for the specific service giving rise to the claim.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable UAE law.
Numtrex may use or interact with third-party software, banks, payment processors, cloud providers, government platforms and other service providers. Unless expressly agreed otherwise, Numtrex does not warrant or accept responsibility for the availability, security, accuracy, acts, omissions or performance of independent third parties.
Unless otherwise agreed in writing, Numtrex retains ownership of its methodologies, templates, working papers, systems, processes, know-how and proprietary materials.
Upon full payment of applicable fees, the client may use final reports and deliverables prepared specifically for the client for their intended business purposes.
For recurring engagements, either party may terminate the engagement by providing 30 days' written notice, unless otherwise stated in the applicable Engagement Letter.
Numtrex may suspend or terminate an engagement immediately, subject to applicable law, for non-payment, failure to provide required information, material breach, suspected unlawful or fraudulent activity, sanctions/AML/regulatory concerns, abusive or inappropriate conduct, or circumstances in which continuing the engagement could cause Numtrex to breach applicable law or professional obligations.
Fees for work performed up to the termination date remain payable.
Refunds and cancellations are governed by the Numtrex Refund & Cancellation Policy, which forms part of these Terms.
Information on the Website is provided for general informational purposes and should not, by itself, be regarded as accounting, financial, tax or other professional advice specific to a client's circumstances.
A professional relationship is not created merely by visiting the Website or submitting an enquiry.
Numtrex may update these Terms periodically to reflect changes in its services, business practices or applicable requirements. The latest version will be published on the Website together with its effective or last-updated date.
Changes will not override specific contractual rights already agreed in an Engagement Letter except as permitted by that agreement and applicable law.
These Terms shall be governed by and construed in accordance with the applicable laws of the United Arab Emirates and the Emirate of Dubai.
Subject to any dispute-resolution provision contained in an applicable Engagement Letter, disputes shall be subject to the jurisdiction of the competent courts of Dubai, United Arab Emirates.
